These Terms of Service (“Terms”) govern access to and use of KipoProp, a property management software platform operated by AK COMPANY LLC, a New Mexico limited liability company (“KipoProp,” “we,” “us,” or “our”).
These Terms apply to the KipoProp website at kipoprop.com, the KipoProp web application, and related products, features, services, communications, and support services collectively referred to as the “Service.”
By creating a KipoProp account, purchasing or starting a subscription or trial, accepting these Terms through an interface provided by KipoProp, or otherwise accessing or using the Service, you agree to these Terms.
If you are using KipoProp on behalf of a company, property management business, landlord, property owner, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “Customer” refer to that organization.
If you do not agree to these Terms, do not use the Service.

1. KipoProp Service
KipoProp provides software tools designed to assist landlords, property managers, property owners, and their authorized users with property-management activities.
Depending on the features and subscription plan available to you, the Service may include functionality relating to properties, units, tenants, leases, rent records, payments, maintenance, vendors, owners, tasks, notes, reports, communications, documents, subscriptions, and other property-management activities.
KipoProp provides software and technology services only.
Unless expressly agreed otherwise in writing, KipoProp does not act as your landlord, property manager, real estate broker, lawyer, accountant, tax adviser, financial adviser, insurance adviser, lender, bank, escrow service, or other licensed professional.
You remain responsible for your property-management operations and decisions.
2. Eligibility and Authority
You must have the legal capacity to enter into a binding agreement in your jurisdiction to use KipoProp.
If you use the Service for a business or organization, you represent and warrant that you have authority to enter into these Terms on behalf of that business or organization.
You may not use KipoProp if applicable law prohibits you from receiving or using the Service.
3. Accounts
Certain KipoProp features require an account.
You agree to provide accurate, current, and complete information when creating and maintaining your account.
You are responsible for safeguarding your login credentials and for activity occurring through your account and workspace.
You must not share credentials in a manner that circumvents applicable user or subscription restrictions.
You must promptly notify KipoProp at support@kipoprop.com if you reasonably believe that your account has been compromised or accessed without authorization.
KipoProp may rely on actions performed through authenticated accounts as authorized actions unless we have reason to believe otherwise.
4. Customer Administrators and Authorized Users
Customers may authorize team members, employees, contractors, property owners, tenants, or other permitted users to access portions of the Service where supported by KipoProp.
The Customer is responsible for:
- determining who should receive access;
- assigning appropriate roles and permissions;
- removing access when it is no longer appropriate;
- supervising authorized users; and
- ensuring that authorized users comply with these Terms.
Actions of authorized users may be treated as actions of the Customer.
5. Customer Responsibilities
You are solely responsible for your business operations and for how you use KipoProp.
You are responsible for:
- the accuracy and legality of information entered into KipoProp;
- your properties, tenants, leases, agreements, notices, records, and business decisions;
- complying with applicable landlord-tenant laws;
- complying with fair housing and anti-discrimination laws;
- complying with rent-control or rent-regulation requirements where applicable;
- handling security deposits and trust funds in accordance with applicable law;
- providing legally required disclosures and notices;
- complying with maintenance, habitability, safety, and inspection requirements;
- complying with tax and accounting obligations;
- determining whether electronic signatures, communications, notices, or records satisfy applicable legal requirements; and
- obtaining any licenses or registrations required for your property-management activities.
KipoProp does not guarantee that use of the Service alone will make you compliant with any law or regulation.
6. Customer Data
“Customer Data” means information, records, documents, content, and other data submitted to or processed through KipoProp by or on behalf of a Customer.
As between KipoProp and the Customer, the Customer retains its rights in Customer Data.
These Terms do not transfer ownership of Customer Data to KipoProp.
You grant KipoProp and its service providers a limited, non-exclusive right to host, copy, transmit, display, process, back up, and otherwise use Customer Data only as reasonably necessary to:
- provide the Service;
- maintain and secure the Service;
- provide customer support;
- comply with applicable law;
- enforce these Terms; and
- perform other processing authorized by you or described in applicable agreements.
You represent that you have all rights, permissions, notices, consents, and lawful bases necessary to submit and process Customer Data through KipoProp.
7. Personal Information and Privacy
Our processing of personal information is described in the KipoProp Privacy Policy available at:
Where KipoProp processes personal information on behalf of a Customer, KipoProp may act as a processor, service provider, contractor, or similar entity under applicable privacy laws.
Customers remain responsible for determining whether they require a Data Processing Agreement (“DPA”) and for complying with privacy laws applicable to their collection and use of personal information.
Where an applicable DPA between KipoProp and a Customer conflicts with these Terms regarding processing of Customer Data, the DPA will control with respect to that processing.
8. Data Protection by Customers
You must use reasonable safeguards to protect personal information and Customer Data processed through KipoProp.
You must not upload, collect, use, or disclose information through KipoProp in violation of applicable privacy, data-protection, housing, employment, financial, consumer-protection, or other laws.
You are responsible for providing legally required privacy notices to tenants and other individuals whose information you enter into KipoProp.
If an individual submits a privacy request concerning Customer Data for which you are the controller or responsible business, you are responsible for responding to that request. KipoProp may reasonably assist where required by applicable law or contract.
9. License to Use KipoProp
Subject to these Terms and payment of applicable fees, KipoProp grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during your applicable subscription or authorized usage period for your internal business purposes.
This right does not transfer ownership of KipoProp or any of its software or intellectual property.
10. KipoProp Intellectual Property
KipoProp, including its software, source code, object code, interfaces, designs, branding, logos, graphics, workflows, databases, documentation, text, and other materials, is owned by or licensed to AK COMPANY LLC and is protected by applicable intellectual-property laws.
Except for the limited rights expressly granted under these Terms, no rights are granted to you.
You may not, except where applicable law expressly permits otherwise:
- copy or reproduce KipoProp software;
- modify or create unauthorized derivative works;
- reverse engineer or attempt to derive source code;
- bypass technical restrictions;
- resell or sublicense the Service without authorization;
- use KipoProp to create a competing service through unauthorized copying;
- remove proprietary notices; or
- use KipoProp trademarks without written authorization.
11. Feedback
If you provide suggestions, ideas, recommendations, comments, or other feedback concerning KipoProp, you grant AK COMPANY LLC a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation.
This provision does not transfer ownership of Customer Data to KipoProp.
12. Subscription Plans
Certain KipoProp features require a paid subscription.
Available plans, features, usage limits, billing intervals, and prices are displayed on KipoProp or during the applicable signup or checkout process.
Pricing and plan availability may change over time.
Any pricing, trial duration, renewal term, discount, or commercial term specifically displayed to you during checkout or stated in an applicable order form will control for that transaction.
KipoProp may introduce, modify, rename, or discontinue subscription plans, subject to applicable law and existing contractual commitments.
13. Free Trials and Promotional Offers
KipoProp may offer free trials or promotional access.
The duration, eligibility requirements, included features, and conversion terms of a trial will be disclosed through the applicable offer, signup flow, pricing page, checkout process, or other communication.
Trial eligibility may be limited to new customers or otherwise restricted.
Unless prohibited by applicable law, KipoProp may modify or withdraw a trial or promotional offer before it is accepted.
If a trial is stated to convert automatically to a paid subscription, your subscription will convert according to the pricing and billing terms disclosed when you start that trial unless you cancel before the stated trial deadline.
If no automatic conversion is disclosed, KipoProp will not rely on this section alone to create an automatic paid subscription.
14. Billing and Automatic Renewal
Paid subscriptions may be billed monthly, annually, or according to another billing interval displayed during checkout.
If your subscription is designated as automatically renewing, you authorize the applicable payment provider to charge the payment method associated with your account for recurring fees at the beginning of each renewal period unless you cancel before renewal.
The amount charged will be the applicable subscription price, plus any taxes or other charges disclosed or required by law.
You are responsible for maintaining valid payment information.
If a payment fails, KipoProp may retry payment, notify you, restrict paid functionality, suspend the subscription, or take other reasonable steps consistent with the Service and applicable law.
KipoProp does not guarantee that every payment attempt will succeed.
15. Taxes
Fees displayed by KipoProp may exclude taxes unless otherwise stated.
You are responsible for applicable sales, use, value-added, goods and services, withholding, or similar taxes associated with your purchase or use of KipoProp, except taxes imposed on AK COMPANY LLC's net income.
Where KipoProp or its payment provider is legally required to collect taxes, applicable taxes may be added to the amount charged.
16. Cancellation
You may cancel a recurring KipoProp subscription through the cancellation method made available in the Service or through another method communicated by KipoProp.
Unless otherwise stated at checkout or required by applicable law, cancellation becomes effective at the end of the then-current paid billing period.
You generally retain access to the paid subscription until the end of that period.
Canceling a subscription does not automatically delete your KipoProp account or Customer Data unless the applicable account controls provide otherwise.
17. Refunds
Except where required by applicable law, expressly stated at checkout, or otherwise agreed by KipoProp in writing, subscription fees and other amounts already paid are non-refundable.
We generally do not provide refunds or credits for:
- partially used subscription periods;
- unused features;
- failure to use the Service;
- subscription periods remaining after voluntary cancellation; or
- account suspension resulting from a violation of these Terms.
Nothing in these Terms limits refund or withdrawal rights that cannot legally be waived.
18. Payment and Rent Collection Features
KipoProp may provide functionality that enables Customers, tenants, property owners, or other authorized users to initiate or manage payment-related activities.
Payment processing is provided through independent third-party payment providers, including Stripe where applicable.
KipoProp itself does not provide payment-card processing or banking services.
Use of payment functionality may also be subject to the terms, privacy policies, verification requirements, prohibited-business rules, and other requirements of the applicable payment provider.
Customers are responsible for:
- configuring payment information correctly;
- determining amounts owed;
- ensuring rent and other charges are legally permissible;
- handling refunds, credits, security deposits, disputes, and adjustments as required by law;
- maintaining appropriate records;
- complying with payment-related notices and authorization requirements; and
- complying with applicable laws governing rent collection and property management.
KipoProp does not guarantee that a payment will be authorized, completed, settled, received, or free from reversal, dispute, chargeback, bank return, delay, or error.
A status displayed in KipoProp regarding a transaction may depend on information supplied by a third-party payment provider.
19. Third-Party Services
KipoProp may integrate with or rely on third-party services, including payment processors, hosting providers, authentication services, analytics providers, email services, monitoring systems, and other infrastructure providers.
Third-party services are governed by their own terms and privacy policies.
KipoProp is not responsible for independent acts, omissions, outages, changes, security incidents, or policies of third-party services to the extent permitted by applicable law.
KipoProp may change third-party service providers when reasonably necessary to operate or improve the Service.
20. Acceptable Use
You may not use KipoProp to:
- violate applicable law;
- commit or facilitate fraud;
- infringe intellectual-property or privacy rights;
- discriminate unlawfully against tenants, applicants, or other individuals;
- harass, threaten, exploit, or harm others;
- upload malicious software or code;
- interfere with the security or operation of KipoProp;
- attempt unauthorized access to another account, workspace, system, or data;
- probe or test vulnerabilities without written authorization;
- circumvent access controls or subscription limitations;
- send unlawful spam or abusive communications;
- submit information you have no lawful right to process;
- use KipoProp for illegal financial activity; or
- assist another person in engaging in prohibited conduct.
We may investigate suspected abuse and take reasonable action to protect KipoProp, customers, users, and third parties.
21. Suspension
KipoProp may temporarily suspend or restrict access to all or part of the Service where reasonably necessary due to:
- non-payment;
- suspected fraud;
- security risks;
- violation of these Terms;
- unlawful activity;
- risk to other users or infrastructure;
- requirements of a third-party provider;
- legal obligations; or
- urgent technical or operational concerns.
Where reasonably practical, we may provide notice and an opportunity to resolve the issue.
We may take immediate action where necessary to prevent harm, fraud, security incidents, or unlawful conduct.
22. Termination
You may stop using KipoProp at any time and may cancel an applicable subscription as described in these Terms.
KipoProp may terminate an account or these Terms where permitted by law if:
- you materially breach these Terms;
- required fees remain unpaid;
- your use creates a material security or legal risk;
- your use is fraudulent or unlawful;
- continued provision of the Service is prohibited by law; or
- KipoProp permanently discontinues the Service.
Upon termination, your right to use the Service ends, except for any limited access KipoProp may provide for account administration or data export.
You are responsible for exporting Customer Data that you wish to retain before account deletion or expiration of any applicable data-retention period.
KipoProp does not guarantee indefinite storage of Customer Data after account termination.
23. Service Changes and Availability
KipoProp is continuously developed and may change over time.
We may add, modify, replace, or discontinue features or functionality.
We may also perform maintenance, upgrades, security work, or infrastructure changes.
KipoProp does not guarantee uninterrupted, error-free, or continuously available operation.
Temporary interruptions may occur because of maintenance, third-party providers, Internet failures, security events, force majeure events, or other circumstances.
Where commercially reasonable, we will seek to minimize material disruption to paying customers.
24. Backups and Data Export
KipoProp may use technical backups and recovery procedures as part of operating the Service.
However, unless expressly agreed otherwise, KipoProp is not a dedicated archival or backup-storage service.
Customers are responsible for maintaining copies of records that they are legally or operationally required to preserve.
Customers should export important information before terminating their account or subscription where export functionality is available.
25. Confidentiality
Each party may receive non-public information from the other party that is confidential by its nature or circumstances.
The receiving party will use reasonable care to protect confidential information and will use it only as necessary for the relationship contemplated by these Terms.
Confidential information does not include information that:
- becomes public through no breach of obligation;
- was lawfully known without confidentiality obligations;
- is lawfully received from another source without restriction; or
- is independently developed without use of the confidential information.
A party may disclose confidential information where required by law, subject to applicable legal requirements.
26. No Professional Advice
Information, reports, reminders, calculations, workflows, templates, or other output provided through KipoProp are for software and administrative purposes.
KipoProp does not provide legal, tax, accounting, financial, insurance, real-estate brokerage, or other professional advice.
You should consult an appropriately qualified professional regarding decisions requiring professional advice.
You remain responsible for verifying information before relying on it for legally significant actions.
27. Disclaimer of Warranties
To the maximum extent permitted by applicable law, KipoProp and the Service are provided “as is” and “as available.”
AK COMPANY LLC DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.
We do not warrant that:
- the Service will always be available;
- the Service will be error-free;
- every feature will meet your requirements;
- third-party services will always function;
- data will never be lost;
- payment transactions will always complete; or
- use of KipoProp will ensure compliance with property-management or other laws.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
28. Limitation of Liability
To the maximum extent permitted by applicable law, AK COMPANY LLC and its officers, members, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, goodwill, data, or business opportunity arising out of or relating to KipoProp.
To the maximum extent permitted by law, the total aggregate liability of AK COMPANY LLC arising out of or relating to the Service or these Terms will not exceed the total fees paid or payable by the Customer to KipoProp during the twelve months immediately preceding the event giving rise to the claim.
If you have not paid KipoProp any fees during that period, the maximum aggregate liability will not exceed USD $100.
These limitations apply regardless of the theory of liability and even if KipoProp has been advised of the possibility of such damages.
The limitations do not apply where applicable law prohibits them.
29. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless AK COMPANY LLC and its officers, members, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and reasonable legal fees arising from or relating to:
- your Customer Data;
- your properties or property-management activities;
- your agreements with tenants, owners, vendors, or other third parties;
- your violation of applicable law;
- your violation of these Terms;
- your infringement or violation of third-party rights; or
- misuse of KipoProp by you or your authorized users.
This provision does not require indemnification for claims caused solely by AK COMPANY LLC's own unlawful conduct where such indemnification is prohibited by law.
30. Electronic Communications
By using KipoProp, you agree that KipoProp may provide contracts, notices, disclosures, invoices, receipts, security alerts, subscription communications, and other service communications electronically.
Electronic communications may be delivered through the Service or to the email address associated with your account.
You are responsible for maintaining a current email address.
Nothing in this section overrides legal requirements that require a different form of notice.
31. Governing Law
These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles, except to the extent mandatory law requires otherwise.
To the extent legally permitted, any dispute that is not resolved informally will be subject to the exclusive jurisdiction of the state or federal courts located in New Mexico, United States.
Nothing in these Terms deprives an individual of mandatory rights or protections that cannot legally be waived under the laws applicable to that individual.
32. Informal Dispute Resolution
Before initiating formal legal proceedings, you and KipoProp agree to attempt in good faith to resolve disputes informally where reasonably practicable.
You may notify KipoProp of a dispute at: support@kipoprop.com
The notice should describe the nature of the dispute and the requested resolution.
This section does not prevent either party from seeking urgent injunctive relief where necessary to protect intellectual property, confidential information, security, or other rights.
33. International Users
KipoProp may be accessible from countries outside the United States.
You are responsible for determining whether your use of KipoProp complies with laws applicable in your jurisdiction.
Nothing in these Terms limits rights under consumer, privacy, data-protection, or other laws that cannot legally be waived.
KipoProp may restrict availability of the Service in particular jurisdictions where required for legal, regulatory, payment, security, or operational reasons.
34. Export Controls and Sanctions
You may not use, export, re-export, or provide access to KipoProp in violation of applicable United States export-control, sanctions, or trade laws.
You represent that your use of the Service is not prohibited by applicable sanctions or trade restrictions.
35. Assignment
You may not assign or transfer these Terms or your KipoProp account without prior written consent from AK COMPANY LLC, except where applicable law provides otherwise.
AK COMPANY LLC may assign or transfer these Terms, in whole or in part, to an affiliate or in connection with:
- a merger;
- acquisition;
- corporate restructuring;
- financing;
- sale of KipoProp;
- sale of substantially all assets relating to KipoProp; or
- another successor transaction.
Any permitted successor may continue providing the Service subject to these Terms and applicable law.
This section is intended to permit orderly continuation of KipoProp in the event of a legitimate business transaction.
36. Changes to These Terms
We may update these Terms to reflect changes to KipoProp, our business, applicable laws, service providers, subscription offerings, or operational practices.
When we update these Terms, we will revise the “Last Updated” date.
For material changes, we may provide additional notice through the Service, email, or another reasonable method where required by law.
If applicable law requires consent to a material change, we will request that consent.
37. Severability
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted by law or modified as necessary to make it enforceable.
The remaining provisions will remain in effect.
38. No Waiver
Failure by KipoProp to enforce a provision of these Terms does not waive our right to enforce it later.
A waiver is effective only if expressly provided in writing by an authorized representative.
39. Force Majeure
KipoProp will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government actions, power failures, Internet outages, telecommunications failures, labor disputes, cyberattacks, epidemics, infrastructure failures, or failures of third-party providers, to the extent permitted by law.
40. Entire Agreement
These Terms, together with the Privacy Policy, any applicable Data Processing Agreement, applicable order form, and other terms expressly incorporated by reference, constitute the agreement between you and AK COMPANY LLC regarding KipoProp.
If an applicable signed order form conflicts with these Terms regarding commercial terms, the order form controls for that Customer.
If an applicable Data Processing Agreement conflicts with these Terms regarding processing of personal information, the Data Processing Agreement controls for that processing.
